1. Scope of Advisory Services

Neuron Spire Core provides professional consulting, revenue audit sprints, subscriber cohort lifetime value modeling, and storefront financial reconciliation services for mobile application publishers and digital businesses.

All analyses, models, calculations, and written deliverables are prepared for informational and strategic management guidance. While we exercise rigorous professional standard of care in our analytical methodologies, our services do not constitute formal statutory tax representation, certified public accountancy audit certifications, or legal counsel.

2. Intellectual Property Rights

  • Practice Methodologies & Templates: All proprietary frameworks, spreadsheet algorithms, audit blueprint architectures, website graphics, text content, and materials created by Neuron Spire Core remain the exclusive intellectual property of Neuron Spire Core Co., Ltd.
  • Client Transaction Data: All raw financial reports, transaction feeds, customer records, and proprietary metrics supplied by the client remain the sole and exclusive property of the client.
  • Custom Client Deliverables: Upon full settlement of all applicable advisory fees, the client is granted a perpetual, non-exclusive, irrevocable license to use, reproduce, and internally distribute all custom audit reports, reconciliation ledgers, and forecasting models generated specifically for their engagement.

3. Client Responsibilities & Data Accuracy

The client agrees to provide accurate, complete, and uncorrupted data extracts (including App Store Connect, Google Play Console, and billing gateway exports) required for the performance of the agreed audit scope. Neuron Spire Core shall not be liable for delayed delivery or analytical discrepancies caused by corrupted, incomplete, or fraudulent data provided by the client.

4. Confidentiality & Non-Disclosure

We treat all client transaction logs, financial performance indicators, and business strategies as strictly confidential. Prior to the exchange of any sensitive data, both parties execute a bilateral Non-Disclosure Agreement (NDA). We implement encrypted file transfer protocols and isolated analytical work environments.

5. Professional Fees & Payment Terms

  • Fixed-scope audit engagements and sprints require a 50% advance deposit upon contract execution, with the remaining 50% balance payable upon delivery of the final executive report and briefing session.
  • Ongoing advisory retainers are billed monthly in advance.
  • Invoices are issued in United States Dollars (USD) or Thai Baht (THB) and are payable via electronic bank wire transfer within 14 calendar days of receipt.

6. Limitation of Liability

To the maximum extent permitted by applicable law in Thailand, Neuron Spire Core Co., Ltd. and its directors, officers, and analysts shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, commercial revenue, business opportunities, or operating goodwill arising from the implementation of strategic recommendations. Our aggregate liability arising from any engagement shall not exceed the total advisory fees actually paid by the client under the specific Statement of Work.

7. Governing Law & Dispute Jurisdiction

These Terms of Service and any individual engagement agreements shall be governed by, interpreted, and enforced in accordance with the laws of the Kingdom of Thailand (TH), without regard to principles of conflicts of law.

Any dispute, controversy, or claim arising out of or relating to these terms or our services shall be submitted to the exclusive jurisdiction of the competent courts located in Bangkok, Thailand.
